This Client Agreement (“Agreement”) is made and entered into by and between the Client (hereinafter referred to as “Client”) and Capsul, Inc. (hereinafter referred to as “Capsul”). This Agreement is effective upon payment receipt by Capsul.
1. Services
Capsul agrees to provide the Client with a professional interview and video editing service. This service can be provided in either a studio setting or a virtual setting, as specified in the terms below.
The following items are included in each interview package:
Studio Package:
A commemorative box with a keepsake photo frame, including a QR code linking to a private Capsul page.
One custom greeting card with a QR code linking to a private Capsul page, which can be gifted to other family members.
The option to add extra Capsul keepsakes to the order.
Virtual Package:
A custom greeting card with a QR code linking to a private Capsul page.
The option to add extra Capsul keepsakes to the order.
Capsul may provide additional delivery methods. All additional options will be directly communicated with client in writing.
The items listed in the paragraph above shall be collectively known as the “Deliverables.”
2. Payment
For studio interviews, a $147 deposit or 10% of the total interview fee (whichever is greater) is due upon booking, with the remaining balance payable on the day of the interview.
For virtual interviews, full payment is due upon booking, unless the Client opts for the full virtual interview package.
Additional video add-ons may be added for an additional price.
Discounts, referral bonuses, and/or payment plans may apply.
Refunds available under certain parameters (see section 5).
3. Ownership
Subject to the Client’s satisfaction of its payment obligations under this Agreement, CAPSUL agrees that the Deliverables shall constitute video and audio work(s) specifically commissioned and made for hire within the meaning of the United States Copyright Law.
Client acknowledges that in the process of producing the Deliverables, CAPSUL, its employees, and contractors, may generate additional video footage, still images, notes, audio recordings, image boards, or other material (collectively “additional material”), and that copyright will remain with CAPSUL and CAPSUL shall remain the sole owner of these additional materials.
Additionally, Client agrees that Client may provide CAPSUL with written consent to use portions of the Deliverables in CAPSUL’s promotional materials. CAPSUL retains all licenses, ownership, and copyright in its own methods, content, and intellectual property.
4. Timeline
CAPSUL and Client will coordinate to schedule any meetings prior to the interview at a convenient time. CAPSUL will present Client with the Deliverables within 28 days of the virtual session.
Should CAPSUL provide a link to download any portion of the Deliverables, this link, and the ability of Client to download Deliverables from this link, will be available for 90 days.
5. Cancellation
Client may cancel this Agreement for a full refund under the following circumstances:
CAPSUL is notified within 24 hours of the interview.
The interviewee gets sick or passes away.
Cancellations within 24 hours will result in the option to reschedule or the forfeiture of the deposit. Exceptions are made if interviewee becomes ill or passes away.
Client agrees to notify CAPSUL with 24 hours notice should Client be unable to attend any previously scheduled meetings or virtual interview. Client’s failure to attend a scheduled meeting or virtual interview without providing proper notice shall forfeit Client’s rights to any of the Deliverables and to any refund.
6. Waiver and Limitation of Liability
Client understands that CAPSUL’s interview process may elicit strong emotions from Client and Client’s family members. Client, on behalf of themselves, their heirs, their assignees, and their family, agrees to indemnify and hold CAPSUL harmless for any claims, of any kind, against CAPSUL arising from CAPSUL’s production and dissemination of the Deliverables. Client freely and willingly assumes all risks associated with their participation in CAPSUL’s video interview package.
7. Miscellaneous
Client agrees to cooperate fully with Capsul to facilitate the video interview process. Capsul does not guarantee the continuous availability of its services, and technical failures may result in temporary service interruptions.
This Agreement shall be governed by the laws of the State of Florida, and any claims related to this Agreement shall be filed in a court of competent jurisdiction in Miami-Dade County, Florida.
By making payment and engaging Capsul’s services, the Client acknowledges that they have read, understood, and agreed to the terms and conditions set forth in this Agreement.
